Schneider Electric announced October 5, 2026, that it will buy industrial software company PTC Inc. for $205 per share in an all-cash transaction valued at approximately $22.6 billion.
The price represents a 42.3 percent premium over PTC's last closing share price and a 46.1 percent premium over the 30-day volume-weighted average. The implied enterprise value of the deal is $23.7 billion.
Schneider plans to finance the acquisition through roughly 5 to 6 billion euros in new equity, structured as an accelerated bookbuild offering, and approximately 16 to 17 billion euros in new debt. Morgan Stanley and Societe Generale are providing a bridge facility.
The strategic goal is to combine PTC's software, which covers computer-aided design, product lifecycle management, and service lifecycle management, with Schneider's existing industrial AI data platform and its AVEVA software portfolio. Together, the companies aim to build what they call a "digital thread" linking engineering design with real-world operational data.
Schneider expects to achieve 250 million euros in annual cost savings by the third year after closing, along with about 800 million euros in revenue synergies from cross-selling.
The deal has been approved by both companies' boards. It still requires approval from a majority of PTC shareholders and regulatory clearances. Closing is expected by the third quarter of 2027.
